Terms of Service

Please read these Terms of Use (“Terms”) carefully. The provision of information and services on Syrup.io (the “Site”) operated by Concord Labs, Inc. d/b/a Syrup ("Syrup," “us”, “we”, or “our”), is conditioned upon your acceptance of and compliance with these Terms, together with any documents they expressly incorporate by reference. These Terms constitute an agreement between Syrup and you governing your use of the Site, as well as the email validation services that we make available through the Site and all associated features, applications, and Content (as defined below) (collectively, the “Services”).
By using the Services you agree to be bound by these Terms, and our Privacy Policy, Privacy Notice to European Data Subjects, Cookie Policy, incorporated by reference herein. If you disagree with any part of the Terms, do not use the Services.
These Terms will change over time, in which case we will post the modified Terms on the Site. We may, in our sole discretion, notify you by email or with an announcement posted on the Site if the Terms are altered in a way that materially affects your rights. Your continued use of the Services following a change to these Terms signals your acceptance of the modification(s). You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
The Services are offered and available to users who are 18 years of age or older. By using the Services, you represent and warrant that you of legal age to form a binding contract with us and meet all the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Services.
Data Uploaded by Users
We do not sell or share personal data that is uploaded by users of our Services (“Users”) in the course of their use of the Services. Users maintain ownership of the data they upload for email sending purposes (“Uploaded Data”). Syrup may access or use Uploaded Data for customer support or troubleshooting purposes, to gather statistics, to improve accuracy, or for increasing our product viability. Customers may delete their Uploaded Data from the Syrup system at any time.
Accessing the Services and Account Information
When you create an account with us, you represent that you are at least 18 years old, and that the information you provide to us in connection with your account is accurate, complete, and current at all times. Providing inaccurate, incomplete, or obsolete information may result in the immediate termination of your account.
You agree that you are responsible for, and agree to abide by, all laws, rules and regulations applicable to your use of the Services, your use of any tool, product or service offered on the Site, and any transaction you enter into through the Site or in connection with the Site. You are responsible for making all arrangements necessary for you to have access to the Services and ensuring that all persons who access the Services through your internet connection are aware of these Terms and comply with them.
You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Services or a third-party service. You must notify us immediately here of any unauthorized use of your account, password, or username, or any other breach of security, but you will remain responsible for any unauthorized use of your account. You will not sell, transfer, or assign your account or any account rights.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion. We also reserve the right to withdraw or amend the Services, and any material we provide on the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services are unavailable for any time or for any period. From time to time, we may restrict access to some parts of the Services, the entirety of the Services, to Users, including registered users.
Communications
By creating an Account on our Site, you are opting in to receive newsletters, marketing or promotional materials, and other information we may send to you via email from time to time. However, you may opt out of receiving promotional communications from us by following the unsubscribe link or instructions provided in any email we send.
Subscriptions and Purchases
Some parts of the Services are billed on a subscription basis. You agree to pay the applicable subscription fees for your use of the Services, as set forth on the ordering page (the “Subscription Fees”). All subscriptions for the Services are on billing cycles that will be set forth on your ordering page. Unless otherwise set forth on the ordering page, payment is due in advance at the start of each billing cycle. All sales are final once you elect to purchase a subscription to the Services. If you wish to cancel your subscription, you must make your cancellation request by providing written notice to us no later than 30 days prior to the next renewal date (or as set forth on the ordering page). If notice of cancellation is given less than 30 days before the renewal, the annual contract will automatically renew for subsequent renewal periods.
Syrup may offer free and paid plans. We may use third-party services to process payments made through the Site. By submitting your payment information, you grant us the right to provide such information (including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and CVV number) to these third parties, subject to our Privacy Policy. You also represent and warrant that: (i) you have the legal authority to use the payment card information you are submitting through the Site; and (ii) the information you supply to us is true, correct and complete.
You are responsible for keeping your billing information current. Your credit or debit card will be charged by Syrup on the first day of each billing cycle. You authorize Syrup to charge the Subscription Fees to the credit or debit card (or other payment method accepted by Syrup on its website) provided by you in connection with your Account, plus any sales, use or similar taxes. You represent that you have the legal right to use any credit or debit card or other payment method you provide us.
We reserve the right to refuse or cancel any order at any time for reasons including, but not limited to: product or service availability, errors in the description or price of the product or service, error in your order, suspected fraud or unauthorized or illegal transaction.
By using our services, you agree to be bound by the following payment terms:
Payment Method:
User shall provide a valid payment method, such as a credit card, to be used for payment of any fees associated with the paid plans. User agrees that the payment method provided is authorized for use and that User has the legal right to use such payment method.
We may place limits on your use of the Services (“Service Limits”). Service Limits will be disclosed to you for your subscription to the Services. We reserve the right to modify the Service Limits applicable at any time in our sole discretion, provided that we will notify you of such changes (which notice may be provided in accordance with the “Notice” Section of these Terms or posted within the Service or on the Site).
Use Restrictions
By using the Site and the Services, you agree that you will not:
Decompile, disassemble, reverse engineer, or attempt to reconstruct, identify, or discover any source code, underlying ideas, underlying user interface techniques, or algorithms associated with the Services by any means whatsoever and/or for any purpose whatsoever;
Appropriate, modify, reproduce, or disseminate any source or object code or any software or other products, tools, or processes associated with or accessible through the Services;
Engage in any activities through or in connection with the Services that seek to attempt to or do harm any individuals or entities or are unlawful, offensive, obscene, lewd, lascivious, violent, threatening, harassing, or abusive, or that violate any right of any third party, or are otherwise objectionable to Syrup (including, without limitation, for purposes of sending unsolicited advertising or distributing email messages in violation of applicable laws or regulations);
Engage in any activity that interferes with access to the Services or the proper operation of the Services, or otherwise may cause harm to the Services, Syrup, or other Users;
Harvest or otherwise collect or store any information through the Site (including email addresses or other personal data);
In any way use the Services, which would violate any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US to other countries);
Use the Services for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;
Transmit, or procure the sending of, any advertising or promotional material including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation;
Impersonate or attempt to impersonate the Services, a Syrup employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing);
Scrape or aggregate information from our Services for your own personal commercial use;
Attempt to gain unauthorized access to the Services, other computer systems or networks connected to the Services;
Use the Services in a manner that could disable, overburden, damage, or impair the Services or interfere with any other party’s use of the Services, including their ability to engage in real time activities through the Services;
Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services;
Use any manual process to monitor or copy any of the material on the Services, or for any other purpose not expressly authorized in these Terms, without prior written consent;
Use any device, software, or routine that interferes with the proper working of the Services;
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
Attack the services via a denial-of-service or a distributed denial-of-service attack or
Otherwise violate these Terms or any applicable additional terms.
Availability, Errors and Inaccuracies
Although we attempt to keep information on the Site current, Content on the Site should not be considered to be error-free or a comprehensive source of all information. We are constantly updating our product and service offerings and may experience delays in updating information regarding the Services. Syrup makes no warranties or representations as to the accuracy of the content of the Site, and assumes no responsibility for any consequences relating directly or indirectly to any action or inaction you take based upon the information on this Site. Products or Services may be mispriced, described inaccurately, or unavailable, and we cannot guarantee the accuracy or completeness of any information found on the Site. Your use of the Site is subject to the additional disclaimers and caveats that may appear throughout these terms and conditions and on the Site. Further, we reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
Contests, Sweepstakes and Promotions
Any contests, coupons, sweepstakes or other promotions (collectively, “Promotions”) made available through the Services may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.
Content
Our Services allow you to upload, post, link, store, share and otherwise make available certain information, data, emails, text, or other material (“Content”). You are responsible for the Content that you post on or through the Services, including its legality, reliability, and appropriateness.
By posting Content on or through the Services, you represent and warrant that: (i) the Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.
Any Content you provide to the Services will be considered non-confidential and non-proprietary. You retain any and all of your rights to any Content you submit, post or display on or through the Services and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third-party posts on or through the Services. However, by posting Content using the Services you grant us the right and license to perform, use, modify, distribute, and reproduce, such Content on and through the Services.
Syrup has the right but not the obligation to monitor and edit all Content provided by users.
In addition, Content found on or through the Services are the property of Syrup or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.
Content Standards
These content standards apply to any and all Content. Content must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, Content must not:
Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy.
Be likely to deceive any person.
Promote any illegal activity, or advocate, promote, or assist any unlawful act.
Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
Impersonate any person or misrepresent your identity or affiliation with any person or organization.
Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
Give the impression that they emanate from or are endorsed by us or any other person or entity if this is not the case.
Monitoring and Enforcement; Termination
While we do not monitor all Content that is transmitted to us, we maintain the right to:
Remove or refuse to post any Content for any or no reason in our sole discretion.
Take any action with respect to any Content that violate these Terms, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for Syrup.
Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
Terminate or suspend your access to all or part of the Services for any or no reason, including without limitation any violation of these Terms.
Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services. YOU WAIVE AND HOLD HARMLESS SYRUP AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY SYRUP OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
However, we do not undertake to review all material before it is posted on the Services, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
Intellectual Property
The Services and all original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Syrup and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Syrup.
Links To Other Websites
The Site may contain links to third-party websites or services that are not owned or controlled by Syrup.
Syrup has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services and cannot guarantee that such third-party content will be free of material you may find objectionable or otherwise inappropriate or of malware or other contaminants that may harm your computer, mobile device, or any files therein.
You acknowledge and agree that Syrup shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, in our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Indemnification
You agree to defend, indemnify, and hold harmless Syrup, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, or your use of the Services, including, but not limited to, your Content, any use of the Services’ content or your use of any information obtained from the Services.
Limitation of Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL SYRUP, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY (WHETHER OR NOT CONTEMPLATED IN ADVANCE), ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. IN ANY EVENT, DAMAGES SOUGHT AGAINST SYRUP IN CONNECTION WITH THESE TERMS ARE LIMITED TO THREE (3) MONTHS OF FEES PAID TO SYRUP.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Disclaimer
You understand that we cannot and do not guarantee or warrant that Services or any content obtained from the Services will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICES, THE SITE, OR ANY ITEMS OBTAINED THROUGH THE SERVICES .
YOUR USE OF THE SERVICES, THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER SYRUP NOR ANY PERSON ASSOCIATED WITH SYRUP MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER SYRUP NOR ANYONE ASSOCIATED WITH SYRUP REPRESENTS OR WARRANTS THAT THE SERVICES, THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PROVIDED BY LAW, SYRUP HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.
Governing Law
These Terms shall be governed and construed in accordance with the laws of Washington, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have had between us regarding the Services.
We make no representation that any products, services, or information described or provided through the Site or Services are appropriate or available for use in locations outside the United States or all territories within the United States.
Waiver and Severability
No waiver by Syrup of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Syrup to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
Entire Agreement
The Terms, and any policy incorporated by reference herein constitute the sole and entire agreement between you and Syrup regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Changes to these Terms will be effective immediately upon posting on this page with an updated effective date.
By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms including potential usage of your logo in our marketing materials. If you do not agree to the new terms, you are no longer authorized to use the Services.
